DriftWarden Terms of Service

These Terms govern your access to and use of DriftWarden. DriftWarden is a product of New Game Plus Leadership and Consulting LLC ("DriftWarden," "we," "us"), a Texas limited liability company. By creating an account or using the service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.
1. The service
DriftWarden is a milestone planning and review tool for creative-production teams. It helps you structure a milestone plan, preserve a baseline, track changes with rationale, review readiness, and export records. DriftWarden complements your existing production tools; it is not a replacement for your task tracker, schedule, or communication systems, and it does not make production or contractual decisions for you.
2. Early access
DriftWarden is offered as a limited, paid early-access product ("Founding Studio" access).
- It is a work in progress. Features may change, be added, or be removed, and you may encounter bugs or interruptions. We do not offer an uptime or availability guarantee during early access.
- Limited cohort. Early access is offered to a small number of studios and may be closed or changed at any time.
- Your feedback. Early access includes a direct channel to give feedback. If you send us feedback, you allow us to use it to improve DriftWarden without obligation to you.
- AI usage is subject to fair-use limits. Because early-access pricing is flat, AI features are provided within the reasonable-use limits described in Section 6, and we may adjust those limits during early access.
3. Accounts
Authentication is provided through our third-party provider. You are responsible for your account credentials and for activity under your account. Access to the application is granted based on active subscription status.
4. Fees, billing, and cancellation
- Price. Founding Studio access is $99 per month. Early-access pricing may change; we will give notice before any change affects you.
- Auto-renewing subscription. Founding Studio access is a monthly subscription. When you subscribe, your payment method is charged $99, and it is automatically charged $99 again each month on your billing date. Your subscription renews automatically until you or we cancel it.
- Cancellation. You may cancel at any time, effective at the end of your current paid month, by contacting us (or through the billing portal, if enabled). After cancellation, your subscription does not renew, you are not charged again, and your access continues through the end of the paid period.
- Failed payments. If a renewal payment fails, we may retry the charge and may suspend or end your access if payment is not completed.
- Refunds. Payments, including monthly renewal payments, are non-refundable except where required by law. Cancelling stops future charges but does not refund the current period.
- Taxes. Fees are exclusive of any applicable taxes, which are your responsibility.
5. Your content and your responsibilities
You own your content. You retain all rights to the plans, documents, notes, and other material you put into DriftWarden ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide the service, including AI-assisted features.
You are responsible for the rights to your content. You confirm that you have the right to upload and process the material you bring into DriftWarden, including any client, publisher, or partner material, and that doing so does not violate any agreement or law. You are responsible for redacting sensitive information where appropriate; DriftWarden provides redaction controls for this purpose.
6. Acceptable use
You agree not to misuse the service, including by uploading unlawful content, infringing others' rights, attempting to breach security or access other users' data, interfering with the service, or using it to build a competing product.
Fair use of AI features. DriftWarden's AI-assisted features are provided for normal, interactive use in your own milestone work, and are subject to reasonable usage limits that we may set, change, or enforce to keep the service reliable and sustainable. You agree not to:
- use AI features in an automated, scripted, bulk, or otherwise high-volume way, or beyond what a person doing ordinary milestone work would reasonably generate;
- share your account, or resell, redistribute, or provide AI features to any third party;
- attempt to circumvent usage limits, rate limits, or access controls; or
- use AI features in a way that places an unreasonable or disproportionate load on our systems or our AI provider.
We may throttle, suspend, or disable AI features — for your account or across the service — at any time, with or without prior notice, if we reasonably believe use is excessive, abusive, automated, anomalous, or likely to cause disproportionate cost or harm, or where needed to protect the reliability and security of the service. Where practical, we will notify you and work with you to restore normal access. Suspending AI features does not by itself entitle you to a refund, though we will act reasonably where the fault is ours.
7. AI features
DriftWarden uses AI to suggest structure, surface risks, and identify possible drift. AI output is a suggestion to support your judgment. It is not professional, legal, or contractual advice, not a determination of who is responsible for a change, and not guaranteed to be accurate or complete. You are responsible for reviewing and confirming any change before it becomes part of your milestone record. AI features are subject to the fair-use limits and suspension rights described in Section 6.
8. Data handling
How we handle the information you put into DriftWarden is described in our Privacy Notice and Trust Center, which are part of these Terms.
9. Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. This is particularly true during early access. We do not warrant that the service will be uninterrupted, error-free, or that it will prevent milestone disputes or guarantee any delivery, acceptance, schedule, or commercial outcome.
10. Limitation of liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amount you paid us in the three months before the event giving rise to the claim.
11. Indemnification
You agree to defend, indemnify, and hold us harmless from claims, damages, liabilities, losses, and expenses arising from Your Content, your misuse of the service, or your violation of these Terms or applicable law.
12. Term and termination
These Terms apply while you use the service. You may stop using DriftWarden and cancel at any time. We may suspend or end your access if you breach these Terms, if required for security or legal reasons, or if we discontinue early access, with reasonable notice where practical. You can export Your Content before your access ends; after termination, data is handled as described in the Privacy Notice and Trust Center.
13. Changes to these Terms
We may update these Terms as the product changes. We will post the new effective date and, for material changes, provide notice to customers. Continued use after changes take effect means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the service will be brought in a state or federal court located in Texas, unless applicable law requires otherwise.
